END-USER LICENSE AGREEMENT FOR MICRO J SYSTEMS INC. SOFTWARE

IMPORTANT - READ THIS AGREEMENT CAREFULLY BEFORE DOWNLOADING YOUR RUN-TIME LICENSES OR BEFORE OPENING THE SEALED PACKAGE MARKED "RUN-TIME LICENSE(S)". This End-User License Agreement ("LICENSE") is a legal agreement between you and Micro J Systems Inc. ("MICRO J"), the manufacturer of your software, hereinafter "SOFTWARE". We are willing to license the software to you only on the condition that you accept the terms contained in this LICENSE agreement. By downloading your run-time licenses or by opening the sealed package marked "Run-Time License(s) (CONCURRENT USER LICENSES) " and/or by installing, copying, or using the software on the enclosed CD-ROM, you agree to be bound by the terms of this LICENSE. If you do not agree to the terms of this LICENSE, MICRO J is unwilling to license the MICRO J SOFTWARE to you. In such event, you may not use or copy the MICRO J SOFTWARE product and you should promptly return the sealed package marked "Run-Time License(s)", the unused SOFTWARE, and any and all accompanying materials in this package, along with the proof of purchase, to the Authorized Dealer from whom you obtained this SOFTWARE and your money will be refunded.

1) OWNERSHIP AND GRANT OF LICENSE: This is a License Agreement that is protected by the copyright laws and international copyright treaties, as well as other international property laws and treaties. Nothing in this License Agreement constitutes a waiver of MICRO J'S rights under U.S. or international copyright law or any other applicable federal or state laws.

A) MICRO J'S RIGHTS: You acknowledge that this copy of the product (SOFTWARE) is the sole and exclusive property of MICRO J. By accepting this license, you do not become the owner of the product, but you will have the right to use it as described in this Licensing Agreement. You will use your best efforts and take reasonable steps to protect the product from unauthorized reproduction, publication, disclosure or distribution. MICRO J reserves the right to sell or give licenses to other persons, firms, agencies or companies. Your rights to use the SOFTWARE are specified in this Licensing Agreement and all rights not specifically granted under this LICENSE are reserved by MICRO J.

2) PERMITTED USES: You are granted the following rights to the SOFTWARE in the licensing Alternatives described in this Licensing Agreement. The licensing Alternatives are distinct and may not be combined.

A) ALTERNATIVE 2A: SINGLE STAND-ALONE COMPUTER.

i. RIGHT TO INSTALL AND USE: You may install and use the SOFTWARE on one single-user computer in your possession. The SOFTWARE is installed on a computer when it is placed on a computer's hard disk, CD-ROM, or other secondary storage device. The SOFTWARE is in use on a computer when it is executed or loaded into the computer's RAM or other primary memory. You may not, under any circumstances, have the SOFTWARE installed or in use on two (2) or more computers at the same time.

ii. DATA FILE RESTRICTIONS: You may create and use multiple data files for use on your stand-alone computer.

iii. HOME OR PORTABLE INSTALLATION AND USE: Notwithstanding the limitations described in the preceding "Right to Install and Use" section, if you use the SOFTWARE solely for business purposes, and permanently install it on a stand-alone computer located at your place of business, the person who is the primary user (PRIMARY U) of that computer may for convenience, install and use the SOFTWARE on one additional stand alone computer at an alternative workplace, such as the home, so long as the SOFTWARE is never used on both computers at the same time.

iv. NETWORK SERVER: If the single computer on which you install the SOFTWARE is a network server, you may use the SOFTWARE, provided that only one (1) network user can use it an any one time. You may NOT install the SOFTWARE on both a network server and a computer connected to the network. The number of concurrent user licenses you have purchased determines the number of users who may access the product simultaneously.

v. SPLITTING OF COMPONENTS: The SOFTWARE is licensed as a SINGLE UNIT and its component programs may not be separated for use on different computers.

vi. RIGHT TO COPY: You may copy the SOFTWARE for back-up and archival purposes only.

vii. RIGHT TO MERGE: You may merge the SOFTWARE into another computer program to the extent necessary for use on a single computer, but any portion of the SOFTWARE merged into another computer program will continue to be subject to the terms, conditions and restrictions of this Licensing Agreement.

viii. RESTRICTIONS: You may not, nor may you permit others to, do any of the following: (a) disassemble, decompile, or otherwise derive source code from the product; (b) reverse engineer the product; (c) modify or prepare derivative works of the product; (d) copy the product (except as specified under Right to Copy, above); (e) rent, lease, or sublease your right to use the product; (f) transfer your license to the product or any copy of it, in any form, to another party without MICRO J'S express written permission; (g) use the product in any manner that infringes the intellectual property or other rights of another party; or (h) provide access to the product on a local area network (LAN), wide area network (WAN) or on any other multiple-user computer hardware or software arrangement, to a person who is not a member or employee of your firm, agency, or company.

ix. RIGHT TO TRANSFER: MICRO J permits a one-time, permanent assignment of this license, subject to Section "f" of the preceding paragraph, which requires the express written permission of MICRO J for this one-time permanent assignment of the license. The assignment of the license must include a transfer of all SOFTWARE (including component parts, the media and printed matter, any upgrades, and a copy of this Licensing Agreement). The party to whom the lease is being assigned ("ASSIGNEE") must agree to accept all of the terms and conditions of this Agreement, including the restriction that the ASSIGNEE may not further assign this LICENSE and SOFTWARE. The transfer of possession terminates the assigning party's (ASSIGNOR'S) license and the ASSIGNOR must destroy all copies of the SOFTWARE in his possession, once the LICENSE has been transferred.

B) ALTERNATIVE 2B: MULTIPLE COMPUTERS:

i. RIGHT TO INSTALL AND USE: You may install and use the SOFTWARE on only as many computers as are equal to the number of Run-Time Licenses (CONCURRENT USER LICENSES) that your company has purchased from MICRO J or one of its authorized dealers. The SOFTWARE is installed on a computer when it is placed on a computer's hard disk, CD-ROM, or other secondary storage device. The SOFTWARE is in use on a computer when it is executed or loaded into the computer's RAM or other primary memory. The number of concurrent user licenses you have purchased determines the number of users who may access the product simultaneously, or you may choose to Alternative 2C.

ii. DATA FILE RESTRICTIONS: You may create and use multiple data files.

iii. HOME OR PORTABLE INSTALLATION AND USE: Notwithstanding the limitations described in the "Right to Install and Use" section, if you use the SOFTWARE solely for business purposes and permanently install it on single user computers located at your place of business (PRIMARY COMPUTER), the person who is the primary user (PRIMARY U) of each computer may for convenience, also install and use the SOFTWARE on one additional stand-alone computer (ASSOCIATED SECONDARY COMPUTER) at an alternative workplace, such as the home, so long as the SOFTWARE is never used on both a PRIMARY COMPUTER and its ASSOCIATED SECONDARY COMPUTER at the same time.

iv. SPLITTING OF COMPONENTS: The SOFTWARE is licensed as a SINGLE UNIT and its component programs may not be separated for use on different computers.

v. RIGHT TO COPY: You may copy the SOFTWARE for back-up and archival purposes only.

vi. RIGHT TO MERGE: You may merge the SOFTWARE into another computer program to the extent necessary for use on a single computer, but any portion of the SOFTWARE merged into another computer program will continue to be subject to the terms, conditions and restrictions of this Licensing Agreement.

vii. RESTRICTIONS: You may not, nor may you permit others to, do any of the following: (a) disassemble, decompile, or otherwise derive source code from the product; (b) reverse engineer the product; (c) modify or prepare derivative works of the product; (d) copy the product (except as Right to Copy, above); (e) rent, lease, or sublease your right to use the product; (f) transfer your license to the product or any copy of it, in any form, to another party without MICRO J'S express written permission; (g) use the product in any manner that infringes the intellectual property or other rights of another party; or (h) provide access to the product on a local area network (LAN), wide area network (WAN) or on any other multiple-user computer hardware or software arrangement, to a person who is not a member or employee of your firm, agency, or company.

viii. RIGHT TO TRANSFER: MICRO J permits a one-time, permanent assignment of this license, subject to Section "f" of the preceding paragraph, which requires the express written permission of MICRO J for this one-time permanent assignment of the license. The assignment of the license must include a transfer of all SOFTWARE (including component parts, the media and printed matter, any upgrades, and a copy of this Licensing Agreement). The party to whom the lease is being assigned ("ASSIGNEE") must agree to accept all of the terms and conditions of this Agreement, including the restriction that the ASSIGNEE may not further assign this LICENSE and SOFTWARE. The transfer of possession terminates the assigning party's ("ASSIGNOR'S) license and the ASSIGNOR must destroy all copies of the SOFTWARE in his possession, once the LICENSE has been transferred.

C) ALTERNATIVE 2C: LOCAL AREA NETWORK (ROAMING USERS)

i. RIGHT TO INSTALL AND USE: You may install the SOFTWARE on as many computers as are connected to one local area network (LAN) as long as all computers are located in the same local time zone. You may use the SOFTWARE on any computer directly connected to that LAN, provided that the number of concurrent user licenses you have purchased is equal to the number of users who access the product simultaneously. If the number of concurrent users exceeds this authorized limit, you must acquire additional licenses. The SOFTWARE is installed on a computer when it is placed on a computer's hard disk, CD-ROM, or other secondary storage device. The SOFTWARE is in use on a computer when it is executed or loaded into the computer's RAM or other primary memory. If you install the SOFTWARE on additional file servers or on more than one local area network (LAN) you must acquire additional licenses.

ii. DATA FILE RESTRICTIONS: You may create and use no more than one (1) data file.

iii. HOME OR PORTABLE INSTALLATION AND USE: Notwithstanding the limitations described in the "Right to Install and Use" section, if you use the SOFTWARE solely for business purposes and permanently install it on single user computers located at your place of business (PRIMARY COMPUTER), the person who is the primary user (PRIMARY U) of each computer may for convenience, also install and use the SOFTWARE on one additional stand-alone computer (ASSOCIATED SECONDARY COMPUTER) at an alternative workplace, such as the home, so long as the SOFTWARE is never used on both a PRIMARY COMPUTER and its ASSOCIATED SECONDARY COMPUTER at the same time.

iv. TIME ZONE RESTRICTIONS: The SOFTWARE may only be used pursuant to this License Alternative if all of the computers that participate in, or are connected to the network are in the same time zone.

v. SPLITTING OF COMPONENTS: The SOFTWARE is licensed as a SINGLE UNIT and its component programs may not be separated for use on different computers.

vi. RIGHT TO COPY: You may copy the SOFTWARE for back-up and archival purposes only.

vii. RIGHT TO MERGE: You may merge the SOFTWARE into another computer program to the extent necessary for use on a single computer, but any portion of the SOFTWARE merged into another computer program will continue to be subject to the terms, conditions and restrictions of this Licensing Agreement.

viii. RESTRICTIONS: You may not, nor may you permit others to, do any of the) disassemble, decompile, or otherwise derive source code from the product; (b) reverse engineer the product; (c) modify or prepare derivative works of the product; (d) copy the product (except as specified under Right to Copy above); (e) rent, lease, or sublease your right to use the product; (f) transfer your license to the product or any copy of it, in any form, to another party without MICRO J'S express written permission; (g) use the product in any manner that infringes the intellectual property or other rights of another party; or (h) provide access to the product on a local area network (LAN), wide area network (WAN) or on any other multiple-user computer hardware or software arrangement, to a person who is not a member or employee of your firm, agency, or company.

ix. RIGHT TO TRANSFER: MICRO J permits a one-time, permanent assignment of this license, subject to Section "f" of the preceding paragraph, which requires the express written permission of MICRO J for this one-time permanent assignment of the license. The assignment of the license must include a transfer of all SOFTWARE (including component parts, the media and printed matter, any upgrades, and a copy of this Licensing Agreement). The party to whom the lease is being assigned ("ASSIGNEE") must agree to accept all of the terms and conditions of this Agreement, including the restriction that the ASSIGNEE may not further assign this LICENSE and SOFTWARE. The transfer of possession terminates the assigning party's ("ASSIGNOR'S) license and the ASSIGNOR must destroy all copies of the SOFTWARE in his possession, once the LICENSE has been transferred.

D) ALTERNATIVE D: WIDE AREA NETWORK:

i. RIGHT TO INSTALL AND USE: You may install and use the SOFTWARE on a network that consists of computers connected to one another that reside in different time zones (wide area network or "WAN") provided that the SOFTWARE is only installed and used on up to as many single user computers as are equal to the number of Run-Time Licenses (CONCURRENT USER LICENSES) that your company has purchased from MICRO J or one of its authorized dealers. The SOFTWARE is installed on a computer when it is placed on a computer's hard disk, CD-ROM, or other secondary storage device. The SOFTWARE is in use on a computer when it is executed or loaded into the computer's RAM or other primary memory. The number of concurrent user licenses you have purchased determines the number of users who may access the product simultaneously. Installation of this product (SOFTWARE) on a network server is prohibited.

ii. DATA FILE RESTRICTIONS: You may create and use multiple data files.

iii. HOME OR PORTABLE USE: Notwithstanding the limitations described in the "Right to Install and Use" section, if you use the SOFTWARE solely for business purposes and permanently install it on single user computers located at your place of business (PRIMARY COMPUTER), the person who is the primary user (PRIMARY U) of each computer may for convenience, also install and use the SOFTWARE on one additional stand-alone computer (ASSOCIATED SECONDARY COMPUTER) at an alternative workplace, such as the home, so long as the SOFTWARE is never used on both a PRIMARY COMPUTER and its ASSOCIATED SECONDARY COMPUTER at the same time.

iv. SPLITTING OF COMPONENTS: The SOFTWARE is licensed as a SINGLE UNIT and its component programs may not be separated for use on different computers.

v. RIGHT TO COPY: You may copy the SOFTWARE for back-up and archival purposes only.

vi. RIGHT TO MERGE: You may merge the SOFTWARE into another computer program to the extent necessary for use on a single computer, but any portion of the SOFTWARE merged into another computer program will continue to be subject to the terms, conditions and restrictions of this Licensing Agreement.
vii. RESTRICTIONS: You may not, nor may you permit others to, do any of the) disassemble, decompile, or otherwise derive source code from the product; (b) reverse engineer the product; (c) modify or prepare derivative works of the product; (d) copy the product (except as specified under Section vi, above); (e) rent, lease, or sublease your right to use the product; (f) transfer your license to the product or any copy of it, in any form, to another party without MICRO J'S express written permission; (g) use the product in any manner that infringes the intellectual property or other rights of another party; or (h) provide access to the product on a local area network (LAN), wide area network (WAN) or on any other multiple-user computer hardware or software arrangement, to a person who is not a member or employee of your firm, agency, or company.

viii. RIGHT TO TRANSFER: MICRO J permits a one-time, permanent assignment of this license, subject to Section "f" of the preceding paragraph, which requires the express written permission of MICRO J for this one-time permanent assignment of the license. The assignment of the license must include a transfer of all SOFTWARE (including component parts, the media and printed matter, any upgrades, and a copy of this Licensing Agreement). The party to whom the lease is being assigned ("ASSIGNEE") must agree to accept all of the terms and conditions of this Agreement, including the restriction that the ASSIGNEE may not further assign this LICENSE and SOFTWARE. The transfer of possession terminates the assigning party's ("ASSIGNOR'S) license and the ASSIGNOR must destroy all copies of the SOFTWARE in his possession, once the LICENSE has been transferred.

E) ALTERNATIVE 2E: APPLICATION SERVER:

i. RIGHT TO INSTALL AND USE: You may install the SOFTWARE on one (1) application server connected to one (1) network. You may use the SOFTWARE on any computer directly connected to that network, provided that the number of computers on which the SOFTWARE is being used concurrently is equal to the number of Run-Time Licenses (CONCURRENT USER LICENSES) that your company has purchased from MICRO J or its authorized dealer. The number of concurrent user licenses that you have purchased determines the number of computers (concurrent users) who may access the product simultaneously. If the number of concurrent users exceeds this authorized limit, then you must acquire additional licenses. The SOFTWARE is installed on a computer when it is placed on a computer's hard disk, CD-ROM, or other secondary storage device. The SOFTWARE is not in use if it is installed on a network server for the purpose of distribution to the other computers on the network.

ii. DATA FILE RESTRICTIONS: You may create and use no more than one data file.

iii. HOME OR PORTABLE INSTALLATION AND USE: Notwithstanding the limitations described in the "Right to Install and Use" section, you may use the software on a home or portable computer by accessing the application server, as long as the number of concurrent users never exceeds the number of Run-Time Licenses (CONCURRENT USER LICENSES)

iv. TIME ZONE RESTRICTIONS: The SOFTWARE may only be used pursuant to this License Alternative in computers located in the same time zone as the application server (HOME NETWORK). If you choose to use the SOFTWARE on computers residing in different time zones than the Application Server, you must do the following: (1) Reduce the number of concurrent users authorized to use the SOFTWARE in the HOME NETWORK by the equal number of computers residing in different time zones; or (2) Obtain a separate LICENSE for each computer or group of computers in any one time zone.

v. SPLITTING OF COMPONENTS: The SOFTWARE is licensed as a SINGLE UNIT and its component programs may not be separated for use on different computers.

vi. RIGHT TO COPY: You may copy the SOFTWARE for back-up and archival purposes only.

vii. RIGHT TO MERGE: You may merge the SOFTWARE into another computer program to the extent necessary for use on a single computer, but any portion of the SOFTWARE merged into another computer program will continue to be subject to the terms, conditions and restrictions of this Licensing Agreement.

viii. RESTRICTIONS: You may not, nor may you permit others to, do any of the) disassemble, decompile, or otherwise derive source code from the product; (b) reverse engineer the product; (c) modify or prepare derivative works of the product; (d) copy the product (except as specified under Section vi, above); (e) rent, lease, or sublease your right to use the product; (f) transfer your license to the product or any copy of it, in any form, to another party without MICRO J'S express written permission; (g) use the product in any manner that infringes the intellectual property or other rights of another party; or (h) provide access to the product on a local area network (LAN), wide area network (WAN) or on any other multiple-user computer hardware or software arrangement, to a person who is not a member or employee of your firm, agency, or company.

viii. RIGHT TO TRANSFER: MICRO J permits a one-time, permanent assignment of this license, subject to Section "f" of the preceding paragraph, which requires the express written permission of MICRO J for this one-time permanent assignment of the license. The assignment of the license must include a transfer of all SOFTWARE (including component parts, the media and printed matter, any upgrades, and a copy of this Licensing Agreement). The party to whom the lease is being assigned ("ASSIGNEE") must agree to accept all of the terms and conditions of this Agreement, including the restriction that the ASSIGNEE may not further assign this LICENSE and SOFTWARE. The transfer of possession terminates the assigning party's ("ASSIGNOR'S) license and the ASSIGNOR must destroy all copies of the SOFTWARE in his possession, once the LICENSE has been transferred.

3) PROHIBITED USES: You may not, nor may you permit others to do the following;

A) Use, copy, modify, merge or transfer copies of the SOFTWARE except as expressly authorized in this Agreement;

B) Use any back-up or archival copies of the SOFTWARE for any purpose other than to replace an original copy if its is destroyed or becomes defective;

C) Place the SOFTWARE onto a server so that it is accessible via a public network such as the Internet.

4) UNITED STATES GOVERNMENT RESTRICTED RIGHTS: This section applies to all acquisitions of the SOFTWARE by or for the federal government. By accepting delivery of the SOFTWARE, the government hereby agrees that the software qualifies as commercial computer software as that term is used in the acquisition regulations applicable to this procurement and that the government's use and disclosure of the SOFTWARE is subject to the terms and conditions of this license Agreement to the maximum extent possible. This License Agreement supersedes any contrary terms or conditions in any statement of work, contract, or other document that are not required by statute or regulation. If any provision of this License Agreement is unacceptable to the government, vendor may be contacted at Micro J Systems Inc., at 200 E Del Mar Blvd, Suite 216, Pasadena, California 91105, (310) 458-1997. If any provision of this License Agreement violates applicable federal law or does not meet the government's actual minimum needs, the government agrees to return the unused software for a full refund of the purchase price. The SOFTWARE and documentation are provided with RESTRICTED RIGHTS. Use, duplication, or disclosure by the United States Government is subject to restrictions as set forth in subparagraph (c) (1) and (2) of the Commercial Computer Software-Restricted Rights at CFR 52.227-19, as applicable. Manufacturer is Micro J Systems Inc., 200 E Del Mar Blvd, Suite 216, Pasadena, California 91105.

5) LIMITED WARRANTY: MICRO J warrants for a period of ninety (90) days from the date when you acquired the SOFTWARE from MICRO J or an authorized dealer that: (1) The SOFTWARE will perform substantially in accordance with the evaluation version of the SOFTWARE; and (2) The medium on which the SOFTWARE resides will be free of defects in materials and workmanship under normal use and service. MICRO J expressly disclaims all responsibility for corruption or loss of user data, which may result from the use of the SOFTWARE. Furthermore, any modification of the SOFTWARE by any party other than MICRO J or its employees, will result in the immediate termination of any warranties under this Licensing Agreement, as well as make impossible any further upgrades of the SOFTWARE by MICRO J to the user who modified their copy.

MICRO J'S entire liability and your sole and exclusive remedy for any breach of the foregoing warranty shall be, at the option of MICRO J, to either (1) return the SOFTWARE for a full refund of the purchase price; or (2) repair or replace the SOFTWARE or media that does not meet the above-referenced Limited Warranty, if it is returned to MICRO J with a copy of the purchase receipt. MICRO J reserves the right to examine the alleged defective software to determine whether the warranty is applicable. THIS LIMITED WARRANTY IS VOID IF FAILURE OF THE SOFTWARE IS CAUSED BY (I) ACCIDENT, (II) UNREASONABLE USE, (III) YOUR NEGLIGENCE.

6) WARRANTY DISCLAIMER AND LIMITATION OF LIABILITY: MICRO J DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE MICRO J SOFTWARE WILL BE CORRECTED. FURTHERMORE, MICRO J DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE MICRO J SOFTWARE IN TERMS ITS CORRECTNESS, RELIABILITY, ACCURACY, OR OTHERWISE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY MICRO J OR A MICRO J AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY.

THERE ARE NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND ALL SUCH WARRANTIES ARE EXPRESSLY AND SPECIFICALLY DISCLAIMED. IF THE SOFTWARE QUALIFIES AS A CONSUMER PRODUCT UNDER THE MAGNUSON-MOSS WARRANTY ACT, ANY IMPLIED WARRANTIES ARE LIMITED TO NINETY (90) DAYS FROM THE DATE YOU ACQUIRED THE SOFTWARE FROM MICRO J OR ONE OF ITS AUTHORIZED DEALERS, AND THEREAFTER ANY IMPLIED WARRANTIES ARE EXPRESSLY DISCLAIMED. MICRO J SHALL NOT BE LIABLE FOR ANY DAMAGE OR LOSS OF ANY KIND ARISING FROM OR RESULTING FROM YOUR POSSESSION OR USE OF THE PRODUCTS (INCLUDING DATA LOSS OR CORRUPTION), REGARDLESS OF WHETHER THAT LIABILITY IS BASED IN TORT, CONTRACT OR OTHERWISE. IF THE FOREGOING LIMITATION IS HELD TO BE UNENFORCEABLE OR IN ANY OTHER CASE, MICRO J'S MAXIMUM LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT OF THE LICENSE FEES THAT YOU PAID FOR THE PRODUCTS. MICRO J SHALL IN NO EVENT BE LIABLE FOR ANY INDIRECT OR CONSEQUENTIAL DAMAGES OR LOST PROFITS, EVEN F MICRO J HAS BEEN ADVISED OF THAT DAMAGE. THE REMEDIES AVAILABLE TO YOU AGAINST MICRO J UNDER THIS AGREEMENT ARE EXCLUSIVE. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF IMPLIED WARRANTIES OR LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, THE LIMITATIONS OR EXCLUSIONS DESCRIBED ABOVE MAY NOT APPLY TO YOU. 7) TERMINATION: This limited use License Agreement will remain effective until it is terminated by (1) MICRO J, if you fail to adhere to its terms; (2) you, if you notify MICRO J at any time of your intent to terminate it and return to MICRO J the original and all copies of the SOFTWARE. Paragraphs number 1, 2, 3, 4, 5, 6, 7, 10, 11 and 12 shall remain in effect even after this agreement is terminated.

8) GOVERNING LAW: This license agreement is to be governed by and interpreted in accordance with the laws of the State of California and not by the 1980 United Nations Convention on Contracts for the International Sale of Goods, as amended. Any disputes that may arise between the parties shall be resolved in the state and federal courts of the State of California.

9) ATTORNEY FEES: If any action is brought by either party regarding this Licensing Agreement, the prevailing party shall be entitled to recover, in addition to any other relief, reasonable attorney fees and expenses.

10) WHOLE AGREEMENT: This License Agreement constitutes the entire limited use License Agreement between you and MICRO J. Any modification of this agreement must be made in writing and signed by MICRO J.

11) SEVERABILITY: If a court or an arbitrator of competent jurisdiction holds any provision of this Agreement to be illegal, unenforceable, or invalid in whole or in part for any reason, the validity and enforceability of the remaining provisions, or portions of them, will not be affected.

12) CANADIAN TRANSACTIONS: If you acquired the SOFTWARE in Canada, you agree to the following: The parties have expressly required that the present License Agreement be drawn up in the English language./Les parties aux presentes ont expressement exige que la presente convention et ses Annexes soient redigees en langue anglaise.

13) EXPORT CONTROLS: You acknowledge that the SOFTWARE is subject to the export control laws and regulations of the United States and any amendments thereof. You agree that you will not directly or indirectly transfer the SOFTWARE except in compliance with all applicable U.S. export laws and regulations. The SOFTWARE may not be exported or re-exported: (1) Into (or to a national or resident of) Cuba, Iraq, Libya, Sudan, North Korea, Iran, or any other country to which the United States has embargoed goods; or (2) To anyone on the United States Treasury Department's list of Specially Designated Nationals or the United States Commerce Department's Table of Denial and Prohibition Orders. By installing and using the SOFTWARE, you are agreeing to the foregoing and all applicable export laws. You are also warranting that you are not under the control of, located in, or a resident or national of any such country or on any such list.
